The information contained in the Portal, including any text, images, audio, video, documents, files, attachments or other information (collectively, “Materials”) is strictly confidential and is available to you only because you are an individual affiliated with a current or prospective investor in one or more private investment funds managed by Lexington Partners L.P. (“Lexington Partners”) or an affiliate thereof (Lexington Partners, together with its subsidiaries and affiliates “Lexington”) and solely for the limited purpose of evaluating and/or monitoring such investment(s), and is being provided to you subject to the terms set forth herein and the terms of the confidentiality provisions of the applicable limited partnership agreement or other agreements or documents, including confidentiality agreements, relating to the Lexington private investment funds to which you are or may become a party (the “Terms”). If any Materials are subject to restrictions on use and disclosure under an agreement described in the preceding sentence, this agreement does not supersede or replace any terms of such agreement with respect to such Materials, and in the event of a conflict between the terms hereof and the terms of such agreement, the terms of such agreement shall control. (“LCP XI”), Lexington Middle Market Investors V, L.P. (“LMMI V”), Lexington Continuation Vehicle Investors, L.P. (“LCVI”), or Lexington Co-Investment Partners VI, L.P. (“CIP VI”) and that you will maintain the confidentiality of the Materials and agree to be bound by the Terms and you represent that you will not distribute any Materials in violation of the Alternative Investment Fund Managers Directive (“AIFMD”). In addition, you agree not to disclose the contents of any Materials to your directors, officers, employees, agents, affiliates, clients, advisors (including investment advisers, attorneys, accountants and lenders) and representatives (collectively, “Representatives”), except to those who have a need to know such information for the purpose of your evaluation of a potential investment and/or monitoring of a current investment in one or more private investment funds managed by Lexington, and you further agree to inform such Representatives of the confidential nature of the Materials. You also agree that any breach of the Terms by your Representatives shall be deemed to be a breach of the Terms by you, and you will be responsible for any such breach. The Materials may contain highly confidential information, including trade secrets and proprietary commercial and financial information regarding the business, operations and financial condition of the private investment funds managed by Lexington, as well as non-public information regarding public companies including but not limited to Franklin Resources Inc., and as such you are required to maintain the confidentiality of all Materials. As described in the preceding paragraph, the Portal and the Materials may be used solely for evaluating and/or monitoring such investor’s current or prospective investment(s) and may not be reproduced, modified, transmitted, reused, reposted or redistributed in whole or in part or used for any other purpose. If you print or retain copies of all or any portion of the Materials, to the extent permitted by the Terms, you will treat such copies (whether in printed, electronic or other format) as confidential information and agree to take normal and reasonable precautions to strictly maintain such confidentiality. You will promptly notify Lexington if, to your knowledge, any Representative that has been authorized to enter the Portal on your behalf is no longer affiliated with you so that Lexington may issue you new access information for the Portal. Lexington reserves the right to terminate any user’s access to the Portal at any time and without notice. You acknowledge that unauthorized disclosure or use of the Materials could cause irreparable harm and significant injury that may be difficult to ascertain. Accordingly, you agree that Lexington shall have the right to seek and obtain immediate injunctive relief from breaches of the Terms, in addition to any other rights and remedies Lexington may have.

The materials to which you will be granted access in connection with the Lexington Partners 2025 Annual Meeting (the “Annual Meeting”) include confidential information, including but not limited to “material non-public information,” regarding Lexington and its activities, as well as various Lexington funds and their respective investments, financial conditions and operations. By accessing these materials through this app or website, you agree that the information therein (i) shall be used by you solely for informational and discussion purposes related to your in-person or virtual attendance at the Annual Meeting and shall not be used by you for any other purposes, and (ii) shall not, without the prior express written consent of Lexington, be reproduced in any manner for, or disclosed to or otherwise shared with, any other person or entity. If this disclosure conflicts with disclosure specific to any material to which you gain access, the latter disclosure shall control.

The Portal may from time to time include examples of investor reporting and similar materials that were prepared for an audience of existing investors in Lexington’s private investment funds, and not for an audience of prospective investors in any private investment fund including LCP XI, LMMI V, LCVI, or CIP VI. Such materials are provided to prospective investors for reference only, and persons who access the Portal should be aware that such materials were not prepared for the purpose of advertising or marketing, may not have been updated since their creation, and, for the avoidance of doubt, have not necessarily been modified in response to recent changes in rules and regulations applicable to advertisements.

The Terms shall be construed under the laws of the State of Delaware (without regard to principles of conflicts of law), as now adopted or as may be hereafter amended.

Notwithstanding the obligation of confidentiality set forth herein, to comply with U.S. Treasury Regulations Section 1.6011-4(b)(3)(i), you and your Representatives may disclose to any and all persons, without limitation of any kind, the U.S. federal income tax treatment and tax structure of the applicable partnership or any transactions undertaken by the applicable partnership, it being understood and agreed, for this purpose, (i) the name of, or any other identifying information regarding, the applicable partnership or any existing or future investor (or any affiliate thereof) in the applicable partnership, or any investment or transaction entered into by the applicable partnership and (ii) any performance or other information relating to the applicable partnerships or their underlying investments does not constitute such tax treatment or tax structure information.

Lexington may change, suspend or discontinue without notice to you any aspect of the Portal at any time, including the availability of any feature, database or content therein. Lexington may also modify the Terms with or without notice to you, and such modified Terms shall be effective immediately upon posting. YOUR CONTINUED USE OF THE PORTAL FOLLOWING THE POSTING OF ANY CHANGES TO THE TERMS CONSTITUTES ACCEPTANCE OF SUCH NEW OR MODIFIED TERMS. Interests in LCP XI, LMMI V, LCVI, CIP VI, or any other Lexington fund as referred to or described in the Portal are not currently being offered or marketed to investors who are domiciled or have a registered office in the European Economic Area (the “EEA”) or the United Kingdom (“UK”). Where access to the Portal can be provided lawfully to prospective investors domiciled or with a registered office in the EEA or the UK (“Relevant Persons”), including in response to an express unsolicited request to Lexington for information in relation to any Lexington fund, it shall be restricted to professional investors. An EEA professional investor is an investor which is considered to be a professional client, or who may, on request, be treated as a professional client within the meaning of Annex II of the Markets in Financial Instruments Directive (2014/65/EU). Relevant Persons who either are (i) not able to access the Portal lawfully under the laws of their home member state; or (ii) not professional investors, must not access, act or rely on the contents of the Portal. By accessing the Portal, Relevant Persons represent both that they are able to access the Portal lawfully and are professional investors.

If you are a third party advisor or consultant to prospective investors who are Relevant Persons, you agree not to provide any information regarding the Lexington funds, including, without limitation, fund offering materials, to any client or third party that maintains a registered office, or is domiciled, in the EEA or the UK without obtaining Lexington’s prior written consent.
